1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SYNVRA TECHNOLOGIES W.L.L (تقنيات سينفرا ذ.م.م) ("Synvra," "we," "us," or "our") governing your access to and use of www.synvra-technologies.com and related services (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not access or use our services.

2. Definitions

  • "Client" means a user who seeks to hire talent or services through the Platform.
  • "Talent" means a pre-vetted professional offering services through the Platform.
  • "Project" means any work arrangement, contract, or engagement facilitated through the Platform.
  • "Service Agreement" means the contract between Client and Talent for specific services.
  • "Platform" means Synvra's website, services, tools, and infrastructure.

3. Eligibility

You must meet the following requirements to use the Platform:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using the Platform under applicable laws
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials

Business Users: If registering on behalf of a company, you represent that you have authority to bind that entity to these Terms.

4. Account Registration

Account Creation

  • Provide accurate, current, and complete information
  • Maintain and update your information as needed
  • Keep your password secure and confidential
  • Notify us immediately of unauthorized account access

Account Types

  • Client Accounts: For businesses and individuals seeking talent
  • Talent Accounts: For professionals offering services
  • Dual Accounts: Users may maintain both account types

Account Responsibilities

You are responsible for:

  • All activities conducted through your account
  • Maintaining confidentiality of login credentials
  • Any consequences of unauthorized account use

Account Termination

We reserve the right to suspend or terminate accounts that:

  • Violate these Terms
  • Engage in fraudulent activity
  • Pose security risks
  • Remain inactive for extended periods

5. Platform Services

What Synvra Provides

  • Talent matching and discovery platform
  • Pre-vetting and verification services
  • Communication and collaboration tools
  • Payment processing infrastructure
  • Contract templates and documentation
  • Dispute resolution support
  • Platform maintenance and security

What Synvra Does Not Provide

  • Employment relationships (we are not an employer or employment agency)
  • Guarantees of project success or outcomes
  • Legal, tax, or financial advice
  • Direct services (we facilitate connections between parties)
  • Liability for third-party actions

6. Client Terms

Posting Projects

Clients may:

  • Submit project requirements
  • Review matched talent profiles
  • Interview and select talent
  • Negotiate terms and rates
  • Manage ongoing projects

Client Obligations

  • Provide clear, accurate project requirements
  • Communicate professionally and timely
  • Pay agreed fees on time
  • Respect intellectual property rights
  • Comply with applicable employment and tax laws
  • Not solicit talent to work outside the Platform during active projects

Payment Terms

  • Payment methods accepted: Credit card, bank transfer, PayPal
  • Payments processed securely through third-party processors
  • Clients responsible for applicable taxes
  • Payment schedules defined in Service Agreements
  • Late payments may incur fees or service suspension

7. Talent Terms

Profile and Portfolio

Talent must:

  • Provide accurate professional information
  • Maintain updated portfolios and work samples
  • Disclose relevant qualifications and experience
  • Not misrepresent skills or credentials

Talent Obligations

  • Deliver services as agreed in Service Agreements
  • Communicate professionally and promptly
  • Meet deadlines and quality standards
  • Protect client confidential information
  • Maintain appropriate licenses and insurance
  • Comply with tax and legal obligations in their jurisdiction

Vetting and Verification

  • Talent undergoes pre-vetting before platform acceptance
  • Vetting includes skills assessment, portfolio review, and reference checks
  • Acceptance is at Synvra's discretion
  • Continued platform access depends on performance and conduct

8. Service Agreements

Formation

  • Service Agreements are formed between Client and Talent
  • Synvra provides templates and facilitation
  • Parties define scope, timeline, payment, and deliverables
  • Agreements must comply with these Terms

Independent Contractor Relationship

  • Talent provides services as independent contractors
  • No employment relationship exists between parties
  • Talent responsible for own taxes, insurance, and benefits
  • Clients have no control over Talent's work methods

9. Fees and Payment

Platform Fees

  • Synvra may charge service fees to Clients and/or Talent
  • Fees are clearly disclosed before transactions
  • Fee structure available on our Pricing page
  • Fees subject to change with notice

Payment Processing

  • Payments processed through secure third-party providers
  • Processing fees may apply
  • Payment disputes handled according to processor policies
  • Chargebacks may result in account suspension

Taxes

  • Users responsible for applicable taxes in their jurisdiction
  • Synvra may be required to collect VAT or other taxes
  • Tax documentation provided as required by law

10. Intellectual Property

Platform IP

Synvra owns all rights to:

  • Website design, code, and functionality
  • Logos, trademarks, and brand assets
  • Platform features and innovations
  • Documentation and materials

Unauthorized use, reproduction, or distribution is prohibited.

User Content

  • You retain ownership of content you submit
  • You grant Synvra a license to use, display, and distribute your content for platform operations
  • License includes marketing and promotional use (with reasonable discretion)
  • You represent that you have rights to submit your content

Work Product

  • Deliverables created during projects belong to the Client (unless otherwise agreed)
  • Intellectual property transfer should be explicitly defined in Service Agreements
  • Talent may retain portfolio rights (with Client approval)

11. Prohibited Conduct

Users may not:

Fraudulent Activity

  • Provide false information or misrepresent identity
  • Engage in payment fraud or chargebacks abuse
  • Create duplicate or fake accounts

Platform Abuse

  • Circumvent platform fees or payment systems
  • Scrape, copy, or misuse platform data
  • Reverse engineer platform technology
  • Introduce malware, viruses, or harmful code

Inappropriate Conduct

  • Harass, threaten, or abuse other users
  • Discriminate based on protected characteristics
  • Post offensive, illegal, or inappropriate content
  • Spam or send unsolicited communications

Violations may result in account suspension, termination, and legal action.

12. Content Moderation

User-Generated Content

  • Users are responsible for their own content
  • We do not pre-screen all content
  • We reserve the right to remove content that violates these Terms
  • Removal does not imply liability for content

Reporting Violations

Copyright Infringement

Copyright complaints should be sent to: legal@synvra-technologies.com with:

  • Description of copyrighted work
  • Location of infringing material
  • Your contact information
  • Good faith statement of unauthorized use
  • Statement of accuracy under penalty of perjury

13. Dispute Resolution

Between Users

  • Disputes between Clients and Talent should first be resolved directly
  • Synvra provides mediation support upon request
  • Mediation is non-binding but encouraged

With Synvra

Informal Resolution: Contact us first at legal@synvra-technologies.com to attempt resolution.

Arbitration (for disputes over $10,000 USD):

  • Disputes shall be resolved through binding arbitration
  • Arbitration conducted under Bahrain Chamber for Dispute Resolution rules
  • Arbitration location: Kingdom of Bahrain
  • Individual arbitration only (no class actions)

Small Claims: Disputes under $10,000 may be brought in small claims court.

Governing Law

These Terms are governed by the laws of the Kingdom of Bahrain, without regard to conflict of law principles.

Jurisdiction

Exclusive jurisdiction for disputes lies with the courts of the Kingdom of Bahrain.

14. Limitation of Liability

Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Merchantability or fitness for particular purpose
  • Accuracy, reliability, or availability
  • Uninterrupted or error-free operation
  • Security or absence of viruses

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNVRA SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, consequential, or punitive damages
  • Lost profits, revenue, data, or opportunities
  • Service interruptions or data loss
  • Third-party conduct or content
  • Disputes between users

TOTAL LIABILITY CAP: Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold Synvra harmless from claims arising from:

  • Your use of the Platform
  • Violation of these Terms
  • Infringement of third-party rights
  • Your Service Agreements with other users

15. Third-Party Services

The Platform integrates with third-party services:

  • Payment processors (Stripe, PayPal)
  • Communication tools (Slack, Zoom)
  • Analytics services (Google Analytics)
  • Cloud hosting providers

We are not responsible for third-party services, their availability, or privacy practices. Review their terms and policies independently.

16. Privacy and Data Protection

Your use of the Platform is subject to our Privacy Notice, which explains how we collect, use, and protect your information.

  • Data shared with service providers and platform participants
  • Your rights to access, correct, and delete data
  • International data transfers
  • Cookie usage

17. Modifications to Terms

Right to Modify

We may update these Terms at any time to reflect:

  • Changes in laws or regulations
  • Platform features or functionality
  • Business practices or policies

Notification

Material changes will be communicated via:

  • Email notification (to registered users)
  • Prominent website notice
  • In-platform alerts

Acceptance

  • Continued use after changes constitutes acceptance
  • If you disagree, discontinue use and close your account
  • Changes effective as of the updated "Last Updated" date

18. Account Termination

By You

  • Close your account anytime through account settings
  • Email support@synvra-technologies.com for assistance
  • Outstanding obligations remain enforceable

By Synvra

We may suspend or terminate accounts for:

  • Terms violations
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Extended inactivity
  • Risk to platform security or integrity

Effect of Termination

  • Access to the Platform ceases immediately
  • Outstanding Service Agreements remain binding
  • Payment obligations survive termination
  • Certain provisions survive (IP, liability, indemnification)

19. General Provisions

Entire Agreement

These Terms, together with our Privacy Notice and Cookie Policy, constitute the entire agreement between you and Synvra.

Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

Waiver

Failure to enforce any provision does not constitute a waiver of future enforcement.

Assignment

  • You may not assign these Terms without our consent
  • Synvra may assign these Terms in connection with mergers, acquisitions, or asset sales

No Agency

These Terms do not create a partnership, joint venture, employment, or agency relationship.

Force Majeure

We are not liable for failures or delays caused by events beyond our reasonable control (natural disasters, wars, pandemics, government actions, etc.).

Language

These Terms are provided in English. Translations may be available, but the English version governs in case of conflicts.

21. Acknowledgment

BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.

If you do not agree to these Terms, you must not access or use the Platform.
